These Terms & Conditions ("Terms") govern your purchase and use of the Invoice Studio software ("the Software"). By buying, downloading, installing, or using the Software, you agree to these Terms. Please read them carefully.
Who we are. Invoice Studio ("we", "us", "our") is a software business based in the United Kingdom. You can contact us at admin@invoicestudio.co.uk.
1. The licence
When you purchase Invoice Studio, we grant you a personal, non‑exclusive, non‑transferable licence to install and use the Software for your own business. Invoice Studio is sold either as a one‑time purchase or with an optional renewal, as described at the point of sale.
- A licence key is tied to a single computer (its Machine ID) unless we agree otherwise in writing.
- Where a licence has an expiry date, your right to use the Software (and to receive updates) applies for that period. You may renew to continue receiving updates and support.
- You own your own data. The Software stores your business data locally on your computer.
2. What you may not do
- Resell, rent, sub‑licence, share, or distribute the Software or your licence key.
- Copy the Software onto more computers than your licence permits.
- Reverse‑engineer, decompile, modify, or attempt to bypass activation or licensing, except where the law expressly allows it.
- Use the Software for anything unlawful.
We may deactivate a licence key that is shared, copied beyond its permitted use, or obtained fraudulently.
3. Delivery
The Software is a digital product. After we confirm your payment, we email your download link and licence key to the address you provided, usually within a reasonable time. It is your responsibility to give a correct email address and to keep your licence key safe.
4. Price and payment
Prices are shown at the point of sale and may include or exclude taxes as stated. Payment is made by the methods we offer (for example card, PayPal, or bank transfer). Your order is fulfilled once we have confirmed receipt of payment.
5. Refunds
Because the Software is a digital product delivered instantly, and because a free demo is available before purchase, we handle refunds as follows:
- Faulty or not as described: if the Software does not work as described and we cannot resolve the issue, you may request a refund within 14 days of purchase.
- Change of mind: once your licence key has been issued, we do not offer refunds for change of mind, as the digital product has been delivered. We encourage you to try the free demo first.
Nothing in this section affects your statutory rights as a consumer under UK law. If you are a consumer, by asking us to deliver your download and key immediately you acknowledge that you may lose the standard 14‑day cancellation right for digital content once delivery has begun.
6. Updates
We may release updates to fix issues, improve the Software, or add features. Where your licence is current, the Software may download and install updates automatically. We are not obliged to provide updates indefinitely.
7. Your responsibilities
- Keep your own backups of your business data. While the Software includes backup features, you are responsible for safeguarding your data.
- Ensure your computer meets reasonable requirements to run the Software (a supported version of Windows).
- Use the Software in line with your own legal and tax obligations. Invoice Studio is a tool to help you; it is not accounting, tax, or legal advice.
8. Intellectual property
The Software, its design, branding, and all related materials are owned by us and protected by law. These Terms do not transfer any ownership to you; you receive only the licence described above.
9. Warranties and liability
We provide the Software with reasonable care and skill. However, to the fullest extent permitted by law, the Software is provided "as is" and we do not guarantee that it will be error‑free or uninterrupted.
To the fullest extent permitted by law, we are not liable for indirect or consequential losses, loss of profit, loss of data, or business interruption. Our total liability arising from the Software or these Terms is limited to the amount you paid for your licence. Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or for fraud).
10. Data protection
We handle personal data in line with our Privacy Notice, which forms part of these Terms.
11. Ending the licence
We may end your licence if you materially breach these Terms (for example by sharing or misusing your licence key). On termination you must stop using the Software. Your own business data stored on your computer remains yours.
12. Changes to these Terms
We may update these Terms from time to time. The version in force is the one published on this page at the time of your purchase. Continued use of the Software after changes are posted means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, unless mandatory local consumer law provides otherwise.
